since we're talking from an Enterprise/ business perspective, for company which is already budgeted & decided on upgrading systems, to use the more recent OS offers more future compatiblity features that vista doesn't.

Branche Cache & Direct Access will matter as the % of remote workers is only expected to further grow making syncing easier.
Federated search, well if your company is planning to use MOSS or Sharepoint services, then this can help local indexing and setting up local search directors is easy. Not a bad feature to have in a labrynth of data most companies have these days.
These 3 features should translate to increased productivity & lower costs of ownership overall.
BitLocker To go, now that's a good feature to have that vista doesn't offer.
